Samsung Biologics Launches $1.46B Tender Offer for PolyPeptide

Samsung Biologics has formally published its prospectus for a public tender offer to acquire all outstanding shares of PolyPeptide Group AG, a leading peptide contract development and manufacturing organization (CDMO). The move, announced on August 31, 2026, underscores Samsung’s ambition to expand its footprint in peptide therapeutics and manufacturing capacity.

Deal Terms and Shareholder Support

The offer, made through Samsung’s Swiss subsidiary Samsung Peptide AG, values PolyPeptide at approximately CHF 1.46 billion. Shareholders are being offered CHF 44.31 per share in cash, representing a 40% premium compared with PolyPeptide’s unaffected share price on April 10, 2026, before acquisition speculation began.

PolyPeptide’s Board of Directors, acting through independent members, unanimously recommends that shareholders accept the offer. Draupnir Holding B.V., the company’s largest individual shareholder with 55.65% of outstanding shares, has already committed to tender its stake. The main offer period will run from September 15 to October 12, 2026, subject to regulatory approvals and a minimum acceptance threshold of two‑thirds of shares.

Strategic Expansion in Peptides

PolyPeptide is a major global player in peptide synthesis and API manufacturing, serving pharmaceutical and biotech companies with specialized production capabilities. By acquiring PolyPeptide, Samsung Biologics would gain significant expertise and infrastructure in peptide development, complementing its existing biologics portfolio.

Samsung Biologics currently operates with a combined biomanufacturing capacity of 845,000 liters across facilities in Korea and the United States. The addition of PolyPeptide’s operations would strengthen its position in next‑generation therapies, including peptides, antibody‑drug conjugates, and mRNA therapeutics.

Market Impact and Industry Consolidation

The acquisition reflects a broader trend of consolidation in the CDMO sector, particularly in peptides, where demand is rising due to the success of GLP‑1 and GIP receptor agonists in diabetes and obesity treatment. By integrating PolyPeptide, Samsung Biologics could address growing supply chain pressures and expand its service offerings to clients worldwide.

Following settlement, Samsung Peptide intends to pursue a squeeze‑out of remaining minority shareholders and delist PolyPeptide from the SIX Swiss Exchange.

For Samsung Biologics, the deal represents a strategic bet on peptides as a cornerstone of future therapeutics. For PolyPeptide, it offers scale, resources, and integration into one of the largest biologics manufacturing networks globally. If completed, the acquisition could reshape the competitive landscape of peptide manufacturing and signal further consolidation in the sector.
